A Flat-footed character is denied his Dexterity and his BDB to his AC. Being denied your Dex also denies dodge bonuses and shield bonuses.

Characters that have yet to act in combat are flat footed until their first turn.

A character is rendered flat-footed for a round if he is Stunned.
