A Flat-footed character is denied his Agility to his AC. Being denied your Agility also denies dodge bonuses and shield bonuses.

Characters that have yet to act in combat are flat footed until their first turn.

A character is rendered flat-footed for a round if he is Stunned.

If you are flat-footed you are open to Overflow Damage.
